Terms of Service
The terms on which your clinic uses Cledge.

By creating an account or using Cledge, you agree to these Terms. If you do not agree, do not use the service.
1. The service
Cledge is web-based software that helps clinics manage branches, staff, appointments, patient records, consultations, prescriptions, treatment packages, and communication with patients by email and WhatsApp.
Cledge is a record-keeping and communication tool. It does not provide medical advice, diagnosis or treatment. All clinical decisions are made by the clinic's qualified practitioners.
2. Accounts and eligibility
- Cledge is for registered healthcare businesses and their staff. You must be at least 18 years old and authorised to act for the clinic.
- The clinic's administrator is responsible for who is invited, what role each person has, and removing people who leave.
- You must give accurate information, keep your password confidential, and tell us promptly at contact@inqmisetechnologies.com if you suspect unauthorised access.
- You are responsible for everything done under your account.
3. The clinic's responsibilities for patient data
The clinic is the data fiduciary for its patients' data; Inqmise processes that data on the clinic's instructions. The clinic must:
- obtain the consent or other lawful basis required under the Digital Personal Data Protection Act, 2023, before entering patient data or sending patients messages;
- obtain a patient's consent before sending marketing or promotional messages, and honour any withdrawal of consent;
- keep patient data accurate, and use Cledge only for its own patients;
- comply with all laws and professional rules that apply to its practice, including medical record-keeping and prescription rules.
4. Messaging rules (email and WhatsApp)
When you send messages through Cledge you must follow the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service and Meta's other applicable policies, and email and telecom rules in India. In particular you must not:
- message people who have not given the required consent;
- send spam, bulk unsolicited marketing, or messages unrelated to the clinic's care and services;
- send prohibited content, including messages promoting unlawful goods or services;
- misrepresent who the sender is;
- share medical information with anyone other than the patient or their authorised representative.
We may suspend messaging for a clinic whose WhatsApp quality rating falls, whose account is restricted by Meta, or which we reasonably believe is breaking these rules. Meta may independently restrict or disable a clinic's WhatsApp account, and we are not responsible for that decision.
5. Connecting a WhatsApp Business Account
- A clinic may connect its own WhatsApp Business Account to Cledge. The clinic remains the owner of that account and of its phone number, display name and message templates.
- The clinic authorises Inqmise to send and receive messages, manage templates, and read account status on its behalf, for the purpose of running the clinic's messaging in Cledge.
- Meta charges the clinic directly for messages, under Meta's pricing. The clinic is responsible for adding a payment method and paying those charges.
- A clinic may disconnect its WhatsApp account at any time from the settings page. Messaging then stops.
6. Acceptable use
You must not:
- use Cledge unlawfully, or for anything other than running a legitimate healthcare practice;
- access another clinic's data, or try to bypass access controls;
- attempt to break, overload, reverse-engineer, copy or resell the service;
- upload malware, or content that infringes someone's rights;
- use automated means to extract data beyond the features we provide.
7. Fees
Fees, billing periods and any trial are as agreed with the clinic in writing or as shown when the plan is purchased. Fees exclude taxes, which are charged as applicable. Charges from Meta for WhatsApp messages and any other third-party charges are separate and are paid by the clinic. We may change fees on 30 days' notice. Late payment may lead to suspension.
8. Intellectual property
Inqmise owns Cledge, including its software, design and trade marks. You receive a non-exclusive, non-transferable right to use it during your subscription.
The clinic keeps ownership of its own data, including patient records. You grant us only the limited right to host and process that data so that we can provide the service.
9. Service availability and support
We aim to keep Cledge available and to give reasonable support during business hours, but we do not guarantee uninterrupted service. We may carry out maintenance, and will give notice of planned downtime where practical. We may change or discontinue features, and will give reasonable notice of significant changes.
10. Third-party services
Cledge relies on third parties, including Meta (WhatsApp), Resend (email), our cloud host and an automated assistant provider. Their services are governed by their own terms, and we are not responsible for their acts or outages.
11. Suspension and termination
- You may cancel at any time; the subscription ends at the end of the paid period. Fees already paid are not refundable unless the law requires it.
- We may suspend or end an account that breaks these Terms, does not pay, or creates a legal or security risk.
- After termination, we keep data for 90 days so the clinic can export it, then delete it as described in the Privacy Policy and the Data Deletion page.
12. Disclaimer
Cledge is provided “as is”. To the extent the law allows, we make no warranties of any kind, including merchantability or fitness for a particular purpose. We are not responsible for clinical decisions, diagnoses, prescriptions, or the accuracy of any information entered by the clinic. Automated summaries are aids only and must be reviewed by a qualified practitioner.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental or consequential losses, including lost profits or lost data. Our total liability in any 12-month period is limited to the fees you paid us in that period. Nothing here limits liability that cannot be limited by law.
14. Indemnity
You will indemnify us against claims arising from your use of Cledge in breach of these Terms, from messages you send, or from your handling of patient data.
15. Confidentiality
Each party will keep the other's non-public information confidential and use it only for the purposes of these Terms.
16. Changes to these Terms
We may update these Terms. We will change the “Last updated” date and, for significant changes, notify clinic administrators by email or in the application. Continuing to use Cledge after a change means you accept it.
17. Governing law
These Terms are governed by the laws of India. The courts at New Delhi, India have exclusive jurisdiction.
